Shareholders to vote on Cigna’s merger with Anthem

Shareholders of health insurance giants Cigna Corp. and Anthem Inc. are gathering in special meetings Thursday, Dec. 3, to vote on Anthem’s pending acquisition of Cigna.
In addition, Cigna shareholders will be asked to vote on a proposal to approve, on a non-binding, advisory basis, the compensation that may be paid or become payable to Cigna’s named executive officers in connection with the completion of the merger.
The meeting of Cigna shareholders will be held at 8 a.m. at the Hyatt Regency O’Hare, 9300 Bryn Mawr Avenue, Rosemont, Ill.
Cigna shareholders of record at the close of business on Oct. 22, 2015, will be entitled to vote at the special meeting.
Anthem, Inc. will hold its own special meeting of shareholders to approve the issuance of Anthem common stock, par value $0.01 per share, to Cigna Corp. shareholders. The meeting will be held at 7 a.m. at the Conrad Hotel at 50 W. Washington St., Indianapolis. Anthem shareholders of record at the close of business on Oct. 22, 2015, will be entitled to vote at the special meeting.
Cigna Corp. subsidiaries include Connecticut General Life Insurance Co., Cigna Health and Life Insurance Company, Life Insurance Company of North America and Cigna Life Insurance Company of New York.
Anthem has filed with the U.S. Securities and Exchange Commission a registration statement on Form S-4, including Amendment No. 1, containing a preliminary joint proxy statement of Anthem and Cigna that also constitutes a preliminary prospectus of Anthem. Both companies were mailing a definitive joint proxy statement/prospectus to shareholders this past week.
